Job Summary

A company is looking for a Corporate Counsel to join their legal team and support various corporate legal functions.

Key Responsibilities

• Advise on corporate governance, board and stockholder matters, and subsidiary management
• Manage equity and debt financings, including due diligence, negotiation, and execution
• Support M&A and other strategic transactions, including deal structuring and post-closing integration

Required Qualifications

• J.D. degree and membership in good standing with at least one U.S. state bar
• 3-6+ years of legal experience at a law firm or in-house at a technology company
• Experience in corporate governance, equity and debt financings, M&A, and securities compliance
• Deep knowledge of equity compensation structures
• Ability to operate independently in a fast-paced environment with a strong sense of ownership
