Summary
The Contracts & Legal Senior Manager will play a critical role within Prosci Europe’s legal team, driving excellence in contract negotiation and administration, data privacy, and legal compliance. This role will focus primarily on leading the negotiation of client contracts and providing strategic legal oversight across a range of commercial agreements, including government, vendor, partner, and Associate agreements.
The successful candidate will bring a strong track record of negotiating a broad spectrum of agreements, including NDAs, MSAs, PSAs, DPAs, RFPs, RFQs, license agreements, SOWs, and SaaS contracts - while effectively communicating Prosci’s contractual positions and maintaining a calm, professional approach in client interactions.
In addition to contract leadership, the role will support Prosci Europe’s broader risk management efforts, with responsibilities including data privacy compliance (GDPR and global data privacy laws), insurance matters, and information security. The ideal candidate will possess strong business judgment, exceptional attention to detail, and a proactive approach to managing legal and regulatory risk.
Scope & Responsibilities
People Leadership (approximate 20%)
- Develop & Define annual goals and objectives for the Contracts & Legal team and support each team member to achieve their set of goals.
- Provide ongoing support to the team by equipping individuals with the necessary tools, resources, and guidance, while proactively identifying and removing obstacles to enable efficient and effective task completion.
- Act as a positive role model for Prosci’s values in all interactions with clients, team members, peers, and other colleagues within Prosci.
- Monitor team performance and implement corrective actions via coaching and direction as required.
- Hire and onboard employees as needed.
- Conduct team member 1:1 meetings for collaboration, alignment and productivity.
- Participate in Manager meetings and fulfil any follow up actions required.
- Manage team schedules, including creating contingency plans for planned and unplanned absences.
Contracts (approximate 55%)
- Leads and improves the contract process by collaborating closely with internal stakeholders and making recommendations to streamline the contract negotiation process.
- Identifies contractual issues or areas of concern, balancing competing interest of client requests and Prosci’s risk threshold to progress negotiations and proposes solutions with little or no supervisory assistance.
- Guides and negotiates for legal compliance within complex contractual and regulatory requirements.
- Ensures contracts are administered and monitored to maintain compliance with the terms of agreement.
- Understands and clearly communicates the rationale for standard contractual clauses, both in writing and orally.
- Coordinates with internal stakeholders on agreement statuses and prioritize contracts according to strategic goals.
- Assists with accurate and complete files of contracts and records.
- Liaison with the Prosci Legal & Risk Centre of Acceleration.
Risk Management (approximate 25%)
- Review and complete client data privacy addendums and client data privacy and information security inquiries.
- Participate in privacy professional organizations and interests' groups to stay abreast of relevant privacy regulations and events.
- Respond to inquiries from European stakeholders regarding Prosci’s insurance coverages/requests for COIs.
- Perform initial reviews of new vendor submissions for risk concerns and log approved vendors in vendor database via Vanta compliance software.
- Assist in maintaining Prosci's Risk Register via Vanta compliance software.
- Participate in and assist in preparing for quarterly Information Security Management System (ISMS) Governance Council meetings.
- Assist in organizing annual ISO 27001 policy reviews and in prepping evidence for annual information security audits, including the ISO 27001 audit and Microsoft SSPA audit.

Technical/Functional Skills
- Contract law and legal framework – understanding contract principles, legal terms, and contract law is essential. This includes knowledge of different types of contracts, contract formation, interpretation, and enforceability.
- Legal Risk Management – Applies sound legal judgment to identify, assess, and mitigate risks across a wide range of contractual, regulatory, and commercial matters.
- Understanding and application of GDPR and ISO 27001 principles.
- Proficient user of Microsoft 365; Experience with a Contract Lifecycle Management system is a bonus.
Qualifications
- Bachelor’s Degree in, law, business administration, management or a related field.
- Chartered Institute of Procurement & Supply (CIPS) or European equivalent is desirable.
- 10+ years of relevant experience in contract & risk management, commercial management, procurement or related field.
- 3+ years of managerial experience
- Proven ability to assume increasingly challenging responsibilities.
Additional Preferences
- Experience with Salesforce or similar CRM applications, document generation software, and/or electronic signature platforms is preferred but not required.
- Languages: Required English (full proficiency) and French, particularly for conducting negotiations and drafting legal documents in French to ensure compliance and precision in contract terms.
