The General Counsel is primarily responsible for overseeing and managing the provisions of all legal, contracts and compliance services to the Company to ensure the highest protection of the Company within the limits prescribed by law. This position will serve on the company’s executive leadership team as the legal advisor to the team and CEO.
Essential Duties & Responsibilities
• Provide legal counsel and guidance to the executive leadership team and CEO on all legal matters related to FWG and FWG business operations
• Provide legal guidance on Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations (DFARS), and other government contracting regulations.
• Advise on bid protests, contract negotiations, subcontracting, and contract performance disputes.
• Ensure compliance with government contract requirements, including cybersecurity (CMMC), export controls (ITAR/EAR), and ethics regulations.
• Anticipate and identify legal issues, as well as develop legal strategies and solutions
• Draft, review, develop and approve policies and procedures, regulations, and other legal documents
• Represent the Company in all legal claims, opinions, or litigation, or seek outside counsel as required
• Supervise other legal work (human resources, operations, corporate structure, etc.) throughout the Company
• Lead internal investigations related to government contracts, regulatory compliance, and ethics violations.
• Respond to government audits, subpoenas, and inquiries from agencies such as the DOJ, DCAA, GAO, and OIG.
• Develop and implement company-wide compliance programs and training to mitigate legal risks.
• Manage contracts of different types (FFP, T&M etc.) from cradle to grave and assist in evaluating and monitoring of contract performance
• Review and evaluate company policies, procedures, and reports to identify hidden risks or common issues
• Prepare (and review) base contract documents requested by business unit or partners such as contract amendments, vendor agreements, teaming agreements and non-disclosures
• Oversee all business operations relating to compliance including policies, investments, and procedures
• Design and monitor control systems to deal with violations of legal rules and internal policies
• Perform periodic audits on company procedures and processes
• Lead employee training sessions on legal and contracts compliance issues
• Analyze contract requirements, special provisions & terms, and conditions to ensure compliance with appropriate laws and regulations
• Assist in or conduct legal research on various topics including but not limited to contracts, compliance, human resources, policies governing government contracts, pending legal actions, contract management best practices, policies, and procedures
• Lead the Company’s merger and acquisition efforts alongside the CEO including, but not limited to, research, outreach, analysis, documentation and purchase
• Work closely day-to-day with the Company’s outside legal firm on potential and pending legal issues
• Assist the Chief Operating Officer and information technology staff with all external audits, ensuring compliance with the requirements
• Other duties related to the business functions of FWG Solutions, as assigned
Requirements & Qualifications
Education:
• Bachelor’s Degree required
• Juris Doctor from an American Bar Association accredited law school, required
Licenses & Certifications:
• Member in Good Standing of at least one U.S. State Bar, required
• Ability to obtain and maintain a Top-Secret security clearance
Experience:
• Five to eight plus (5-10+) years of experience in litigation, prosecution or at an established law firm, required
• Expert experience and understanding of government contracting, required
• Advanced knowledge in transactions, corporate governance, and proposal management, investigations, and corporate compliance, required
• Deep understanding of FAR, DFARS, False Claim Act, Anti-Kickback Act and other federal regulations
• Expert knowledge of contract law and the judicial system and procedures, required
• Advanced mergers and acquisitions experience, preferred
• Familiarity with cybersecurity laws (CMMC, NIST 800-171), export controls and contract claims litigation

• Knowledge of current and developing legal issues and trends in area of expertise
• Ability to foster a cooperative work environment
Other Requirements:
• Hybrid office environment, work is administrative in nature
• Local to the Washington, DC, or Miami, FL, areas – preferred
• Ability to travel up to 25%
